Terms & Conditions
One agreement for the ROAM-AI Hub and every application you access through it.
1. Scope & Definitions
Welcome to the ROAM-AI Hub (the "Hub") and the ROAM-AI applications made available through it (each an "Application," and together with the Hub and related services, the "Services"). These Terms of Service ("Terms") govern you, the "End User," an individual serving as an employee, independent contractor, or other authorized agent or representative of Roam-AI's company client ("Client") and your access to and use of the Services as authorized by such Client.
By signing in to the Hub or using any Application or related services, you agree to be bound by these Terms, our Privacy Policy, and any related disclaimers and notices. It is your responsibility to review the Terms before each access so that you understand the then-current Terms. If you do not agree, exit the Hub and discontinue use of the Services.
These Terms cover access through the Hub to the following applications, current and future, and any other application Roam-AI makes available under the same sign-in:
- ROAM-AI Hub
- ESP
- Chemical Tanks
- ROAM-AI Data Platform
- Gas Lift
- Rod Lift
- Plunger
- GAPL
- Surveillance
Some Applications (for example the ROAM-AI Data Platform) may require a separate sign-in. Where that happens, that Application's own notices may also apply for that session.
Definitions
- "Hub" means the unified launcher and shared sign-on session at roam-ai-apps.io (and related environments).
- "Application" or "App" means any individual product listed above or later added to the Hub.
- "Organization" means the tenant under which your account is provisioned.
- "Roam-AI," "we," or "us" means Roam-AI LLC.
- "MSA" means the Master Service Agreement between Roam-AI and the Client.
Governing agreement. Your use of the Services is subject to the MSA between Roam-AI and the Client, and also these Terms. As between you and Roam-AI: (i) if you are acting in your individual capacity (not for a Client), these Terms govern for that issue; (ii) if you are acting for a Client, the MSA governs for that issue. Financial obligations flow through the Client under the MSA regardless of your capacity.
2. Accounts & Access
One Hub sign-in authenticates you across Applications your Organization has granted you, except where an Application requires a separate login. Your role in each Application may differ (for example Admin in one and User in another) and is managed by your Organization's administrators or by Roam-AI support.
As an End User you must be at least 18 years old or the age of majority under applicable U.S. state law. You represent that you are authorized by the Client to use the Services; that you will provide accurate information; that you will keep login credentials confidential and will not share them; that you are responsible for activity under your account; and that you will notify your Client's administrator of any unauthorized use.
- You are not restricted from the Services under U.S. or other applicable law.
- You have authority to agree to these Terms and doing so will not violate another agreement you are party to.
- You will not violate Roam-AI's or any third party's intellectual property or other rights.
- You are not, and do not work for, a competitor of Roam-AI, and will not use the Services to compete with Roam-AI.
- You will maintain only one account and will provide, at your or the Client's cost, the equipment and connectivity needed to use the Services.
We may change these Terms or the Services at any time. Changes are effective when posted. Continued use after publication is acceptance of the revised Terms. We are not liable for modification, suspension, or discontinuation of the Services.
3. Acceptable Use
By accessing the Hub or any Application you agree to:
- Log out at the end of each session when using a shared device.
- Not permit others to use your account, and not use anyone else's account.
- Not sell, trade, or transfer your account.
- Not impersonate any person or collect credentials for other systems.
- Not upload or transmit unlawful, harmful, defamatory, or infringing content, or malware.
- Not gain or attempt unauthorized access to systems, accounts, or data outside your grants.
- Not use scrapers, robots, or similar means to copy or circumvent the Services.
- Not reverse-engineer, decompile, or attempt to discover source code or algorithms, except where mandatory law permits.
- Not remove proprietary notices or exploit the Services for unauthorized commercial purposes.
- Immediately notify your Client and Roam-AI at info@roam-ai.io of suspected unauthorized use or security breach involving your credentials.
- Comply with applicable law, your Organization's policies, and these Terms.
Subject to these Terms and the MSA, and only while the Client authorizes you, Roam-AI grants a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for the Client's internal business purposes as intended by the MSA and the Applications' functionality.
Intellectual property. The Hub, Applications, software, interfaces, branding, and related materials ("Roam-AI Property") remain the exclusive property of Roam-AI LLC and its licensors. As between Roam-AI and Client, the Client retains rights in data the Client provides for processing ("Client Data"). Feedback you provide about the Services is owned by Roam-AI without obligation to you.
4. Data & Privacy
Operational and technical data ingested by any Application remains the property of your Organization as between Roam-AI and the Client. Roam-AI processes that data and account information to provide the Services as described in the Privacy Policy and the MSA.
Authentication for the Hub uses a shared identity provider. Session credentials (including tokens stored in browser cookies) are used to keep you signed in across Applications that accept the Hub session. Handle devices and sessions carefully; ending the Hub session is intended to revoke the shared credentials for those Applications.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AS BETWEEN YOU AS AN INDIVIDUAL AND ROAM-AI, OUR LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS IS LIMITED TO ONE HUNDRED DOLLARS ($100). MORE THAN ONE CLAIM DOES NOT ENLARGE THAT LIMIT.
Roam-AI is not liable for delays or failures caused by events beyond reasonable control (including internet, power, labor, weather, war, government action, or pandemics). You release Roam-AI from claims arising from other users' conduct, third-party integrations, your violation of these Terms, or suspension or termination under these Terms. You will indemnify Roam-AI against claims arising from your violation of these Terms or the MSA, your use of the Services, or infringement of third-party rights.
5. App-specific Addenda
Certain Applications may carry additional product-specific notices (for example advisory-only optimization output, telemetry reliability limits, or separate login). Where an addendum conflicts with these general Terms for that Application only, the addendum prevails for that Application.
Hub
The Hub provides sign-in, account recovery, application launching, and administration tools for Organizations and Roam-AI support. It does not replace Application-specific operational warranties under the MSA.
ESP and related artificial-lift Applications
Optimization and advisory features are decision-support tools. They do not replace engineering judgment, field procedures, or Client responsibility for well and equipment operation.
Chemical Tanks, Surveillance, and similar monitoring Applications
Telemetry, alarms, and notifications depend on field connectivity and third-party systems. Delivery and latency are not guaranteed beyond what the MSA provides.
ROAM-AI Data Platform
Where the Data Platform uses a separate identity provider or policies, those controls apply to that Application's session in addition to these Terms for Hub-mediated access.
6. Termination
Your access to the Hub or any Application may be suspended, restricted, or terminated by your Client's administrator or by Roam-AI at any time, with or without notice. Access ends automatically when the MSA between Roam-AI and the Client ends. Ending the Hub session revokes the shared token for Applications that rely on it.
Before bringing a formal claim against Roam-AI as an individual, send a written Notice of Dispute to info@roam-ai.io describing the claim and requested relief. If unresolved within 45 days, formal proceedings may follow as below. These Terms are governed by the laws of the United States and the State of Oklahoma. Claims not subject to arbitration are brought in state or federal courts in Oklahoma City, Oklahoma. YOU AND ROAM-AI WAIVE JURY TRIAL AND CLASS OR CONSOLIDATED ACTIONS. Binding arbitration under AAA rules applies to disputes that cannot be resolved informally, as further detailed in Roam-AI's standard End User dispute terms. Any claim must be filed within one (1) year after it arose.
The Services are directed to authorized End Users of Roam-AI Clients conducting business in the United States. We make no representation that the Services are appropriate outside the United States.
